WHAT ScopeRelay IS

ScopeRelay is a pre-construction bid intelligence service for commercial finish contractors. We process bid invitations, identify scope presence, extract relevant documents, and deliver pre-construction summaries to support your estimating process.

We are not a general contractor, engineer, architect, or licensed estimating firm. We are a professional advisory and document intelligence service.

WHAT IS INCLUDED IN YOUR SUBSCRIPTION
Depending on your tier, your monthly subscription includes any combination of the following:

• Same-day Go/No-Go decision on forwarded bid invitations

• Full Pre-Estimate Summary on confirmed

• Go decisions including scope presence, risk profile, and material intelligence

• Individual plan sheets extracted and ready for Bluebeam measurement

• Combined spec PDF containing only relevant Division sections

• RFI drafting when architectural discrepancies are identified

• Competitor intelligence from pre-bid walk sign-in sheets when available

• Risk profile extraction from Division 00 and 01 including Liquidated Damages, Prevailing Wage, Bonding requirements, and Insurance limits

• Professional takeoff by our internal estimator on confirmed Go decisions (Tier 2 and Tier 3 only)

• Completed baseline bid sheet built using your provided rates and materials (Tier 3 only)

• Your specific included services are defined by the tier you selected at signup. Services outside your tier are available at published à la carte rates.

WHAT IS NOT INCLUDED AT ANY TIER
The following services are explicitly outside the scope of ScopeRelay at all subscription levels:

• Job site visits, photography, or field documentation of any kind

• Marketing, social media management, or digital advertising services

• Accounting, bookkeeping, or QuickBooks services

• Legal review or contract negotiation on your behalf

• Home or residential invoice generation (available as a separate service at published rates)

• Submission of bids to general contractors or owners on your behalf

• Final verification of quantities, material costs, or labor rates before bid submission

VOLUME LIMITS BY TIER

STARTER: EMAIL TRIAGE $300/month:

• Up to 15 bid invitations per month

TIER 1: PRE-ESTIMATE - $750/month:

• Up to 30 bid invitations per month

• Up to 15 Pre-Estimate Summaries

TIER 2: TAKEOFFS - $1,500/month:

• Up to 40 bid invitations per month

• Up to 15 Pre-Estimate Summaries

• Up to 10 professional takeoffs per month

TIER 3: BID FOR YOU - $3,000/month:

• Unlimited bid invitations

• Unlimited Pre-Estimate Summaries

• Unlimited professional takeoffs

• Up to 10 completed bid sheets per month

Overages are billed at published à la carte rates. ScopeRelay will notify you before processing overages above your tier limit.

À LA CARTE RATES

• Single Pre-Estimate Summary: $300

• Single professional takeoff: $150

• Single bid sheet assembly: $150

HOLD HARMLESS AND FINAL VERIFICATION

This is the most important section of these terms. Please read it carefully.

ScopeRelay provides pre-construction intelligence and takeoff data for informational and advisory purposes only.

The Client retains sole and absolute responsibility for verifying all quantities, material costs, labor burdens, scope requirements, bonding obligations, insurance requirements, prevailing wage applicability, and deadline accuracy before submitting any final bid to a General Contractor or Owner.

ScopeRelay shall not be held liable for any financial losses, missed scope, overbids, underbids, lost contracts, or contractual disputes arising from bids submitted by the Client.

All outputs delivered by ScopeRelay including Pre-Estimate Summaries, takeoff measurements, bid sheets, and RFI drafts are intended to support the Client's estimating process and do not constitute a final estimate, engineering opinion, quantity survey certification, or professional construction document.

The Client acknowledges that architectural documents may contain errors, omissions, conflicting information, and OCR inaccuracies that ScopeRelay will flag when identified but cannot guarantee to catch in every case. Final verification of all scope, quantities, and contractual obligations remains the sole responsibility of the Client and their licensed estimating team.

PAYMENT TERMS

Monthly subscriptions are billed on the first of each month. Payment is due within 15 days of invoice. Accepted payment methods include check payable to ScopeRelay LLC, ACH transfer, and Stripe.

Accounts more than 30 days past due may result in service suspension until the balance is cleared.

À la carte services are invoiced upon delivery and due within 15 days.

Strategic Pre-Construction Fees and performance commissions are invoiced upon written confirmation of project award and are due within 30 days of the Client receiving payment from the project owner or general contractor.

Pricing is subject to annual review. Founding clients are exempt from price increases and are locked at their agreed rate permanently. Current clients will receive 60 days written notice before any price change, reviewed annually.

CONFIDENTIALITY

ScopeRelay will not share, sell, disclose, or otherwise distribute any Client bid data, pricing structures, vendor discount rates, labor rates, project information, or business intelligence to any third party at any time.

Client information is used solely to deliver the services described in these terms.

ScopeRelay retains anonymized and aggregated bid intelligence data for internal pattern recognition and product improvement purposes. No identifying Client information is included in aggregated data.

INTELLECTUAL PROPERTY

All ScopeRelay prompts, extraction logic, triage frameworks, pricing rules, and document processing systems are the proprietary intellectual property of ScopeRelay LLC. Clients receive the outputs of these systems. Clients do not receive access to or ownership of the underlying systems, prompts, or logic that produce those outputs.

Pre-Estimate Summaries and bid sheets delivered to Clients are for the Client's exclusive use on the specific project for which they were produced.

CANCELLATION

Either party may cancel a monthly subscription with 30 days written notice sent to sales@scoperelay.com. No refunds are issued for the current billing period. All work in progress at the time of cancellation will be completed and invoiced at the applicable rates.

ONE CONTRACTOR PER MARKET

ScopeRelay maintains an exclusive partnership model. We onboard one contractor per trade per geographic market. By subscribing, you acknowledge that ScopeRelay may serve other contractors in different trades or different geographic markets but will not onboard a direct competitor in your specific trade and primary market area during the term of your subscription.

Market exclusivity is defined at onboarding and documented in your service agreement.

LIMITATION OF LIABILITY

ScopeRelay's total liability for any claim arising from services provided under these terms shall not exceed the total monthly subscription fees paid by the Client in the three months preceding the claim.

ScopeRelay is not liable for indirect, consequential, incidental, or punitive damages of any kind including but not limited to lost profits, lost bids, lost contracts, or business interruption.

GOVERNING LAW

These terms are governed by the laws of the State of Minnesota. Any disputes arising from these terms shall be resolved in the courts of Hennepin County, Minnesota.
